Terms of Service

Last Updated: September 7, 2026

1. Acceptance of Terms

Welcome to TopFound. These Terms of Service ("Terms") are a legally binding agreement between you ("Client", "you", or "your") and TopFound ("we", "us", or "our"). They govern your access to and use of our website, our platform, and every service we perform for you.

By accessing our website, booking a call, signing an order form, or using any of our services, you accept these Terms. If you do not agree to them, do not use our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. Definitions

  • Services: all Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), SEO, consulting, content, structured data, reporting, and related work we perform for you.
  • Client Content: any material you provide to us or make available to us, including text, images, data, logos, trademarks, product information, and account access.
  • Deliverables: the pages, content, schema markup, links, reports, audits, and other work product we produce for you under an active plan.
  • Platform: the TopFound dashboards, tools, and software we make available to you as part of a plan.
  • Order Form: the proposal, checkout page, or written confirmation that records your selected plan, fees, start date, and billing terms.
  • Autopay: the recurring charges our payment processor takes against the payment method you provide at checkout. Charges are taken in advance on each monthly billing anniversary until the subscription ends under these Terms.

3. Services Description

We provide managed search and AI visibility services designed to make your brand findable, citable, and recommended across Google and AI answer engines. Depending on your plan, the Services may include:

  • Answer Engine Optimization and AI citation strategy
  • Technical SEO, site optimization, and schema governance
  • Entity optimization and structured data implementation
  • Topical mapping, keyword research, and AEO prompt analysis
  • Content production, publication, and on-page optimization
  • Authority building, including backlinks and brand mentions
  • AI visibility tracking across ChatGPT, Perplexity, Gemini, and AI Overviews
  • Reporting, strategy reviews, and account management

The specific scope, volumes, and cadence that apply to you are set out in your Order Form and the plan description in effect when you subscribe. We may improve or adjust our methods at any time, provided the overall scope of your plan is not materially reduced.

4. Eligibility & Account Registration

To use the Services you must be at least 18 years old and able to form a binding contract. If you are entering into these Terms for an organization, you confirm that you are authorized to do so.

When you create an account or grant us access to your systems, you agree to provide accurate, current, and complete information, and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Tell us promptly if you suspect unauthorized use.

5. Payment Terms

5.1 Plans and Fees

We offer subscription plans. Growth and Scale are published monthly plans. Custom AEO and enterprise engagements are priced individually. The plan you select, the monthly fee, any one-time fees, and any add-ons are recorded on your Order Form. Current published pricing is on our pricing page.

5.2 Autopay

Payment is autopay: a recurring subscription charged to the payment method you provide, not a manual monthly invoice. At checkout you enter a payment method, our payment processor charges that method immediately for the first period, and a token is stored with the processor so the same method can be charged again. You authorize us and our payment processor to auto-debit the then-current monthly fee and any recurring add-on fees on each billing anniversary until the subscription ends under the Termination section.

You will receive a receipt when a charge succeeds. We do not wait for you to pay an invoice each month. Fees are due in advance for the billing period they cover.

5.3 Billing Cycle and Term

Every plan is billed monthly, including custom AEO and enterprise plans. A 90-day rolling term, where it applies, is a commitment length — it is not a quarterly invoice and it is not an upfront charge for three months. Those clients are still auto-debited each month; they simply cannot end the engagement before the then-current 90-day period closes, except as set out in Termination.

The subscription renews automatically. Autopay does not stop on its own. It keeps running until you cancel under the Termination section.

5.4 Add-ons

Add-ons are billed as stated on your Order Form: recurring add-ons are auto-debited on the same card and the same monthly anniversary as your plan; one-time add-ons are charged when ordered. Recurring add-ons continue until cancelled with the plan, or as otherwise written on the Order Form.

5.5 Failed Payments

If a recurring charge fails, our payment processor may retry the payment method. If the balance remains unpaid, we may suspend work and access to the Platform until it is settled, and we may charge interest on overdue amounts to the maximum extent permitted by law. You remain responsible for fees accrued before suspension.

5.6 Taxes

All fees are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your purchase, other than taxes based on our net income.

5.7 Performance Guarantee

Where a plan is offered with a published performance guarantee, that guarantee applies only to qualified clients, only where the stated execution conditions are met, and only on the terms published alongside the guarantee. It is a commitment to continue work at no management fee until the stated result is reached. Fees already charged for billed periods stay as billed.

5.8 Cancellation

You may cancel a monthly plan so the next month is not charged. The current month continues through its end date and stays billed as already charged. Custom AEO and enterprise plans follow the 90-day term in the Termination section. How to give notice is set out there.

6. Client Responsibilities

To let us do the work you have paid for, you agree to:

  • Provide timely access to your website, analytics, search console, hosting, and any other systems the work requires.
  • Ensure all Client Content you supply is accurate, lawful, and does not infringe any third-party rights.
  • Respond to requests for feedback, approvals, and information within reasonable timeframes.
  • Maintain appropriate backups of your site, data, and content.
  • Comply with all applicable laws and regulations, and with the terms of any third-party platform you use.
  • Not use our Services for any unlawful, harmful, or fraudulent purpose.

Delays caused by missing access, unanswered approvals, or incomplete information may extend timelines and, where a performance guarantee applies, may void it.

7. Intellectual Property

7.1 Client Content

You retain ownership of all Client Content. You grant us a non-exclusive, worldwide licence to use, reproduce, modify, and publish it for the sole purpose of providing the Services.

7.2 TopFound Property

We retain all rights in our methods, frameworks, tools, processes, software, templates, training materials, and the Platform. Nothing in these Terms transfers ownership of them to you.

7.3 Deliverables

On full payment, you own the Deliverables created specifically for you: the pages, content, schema, and assets we ship on your behalf. You keep them if the engagement ends.

7.4 Portfolio Use

Unless you tell us otherwise in writing, we may reference the engagement and use anonymized or aggregated performance data in case studies and marketing materials. We will not disclose your identity while a confidentiality obligation applies.

8. Confidentiality

Each party agrees to keep the other party's confidential information in confidence and to use it only for the purposes of the engagement. Confidential information includes business plans, financial information, technical data, customer information, and pricing.

These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without restriction, is independently developed, or must be disclosed by law — in which case the receiving party will give reasonable notice where legally permitted.

Confidentiality obligations survive termination of these Terms.

9. SMS & Communication Terms

9.1 Use of SMS Communications

Where you opt in, we may send you text messages relating to your account: appointment reminders, service updates, reporting notifications, and responses to your requests. We do not sell your phone number, and we do not share it with third parties for their own marketing.

9.2 Consent

You provide explicit consent to receive SMS when you submit a form that says so, book a call, or reply to confirm. Consent to receive marketing messages is never a condition of purchasing the Services.

9.3 Where Phone Numbers Are Collected

Phone numbers are collected through our website forms, booking pages, onboarding, and direct conversations with our team. The consent language is shown at the point of collection.

9.4 Opt-Out

You can opt out at any time by replying STOP to any message. We will send one confirmation and then stop sending messages, other than those strictly necessary to service your account. Reply HELP for assistance, or contact us through the website.

9.5 Message Frequency and Rates

Message frequency varies with your engagement and the services in use. Message and data rates may apply, depending on your carrier and plan.

9.6 Carrier Liability

Carriers are not liable for delayed, undelivered, or misdirected messages. We are not responsible for messages delayed or blocked by a carrier or device.

9.7 Email and Platform Notices

We may send service-related email and in-platform notices for as long as your account is active. These are part of the Services and are not marketing messages.

10. Third-Party Services

The Services rely on third-party platforms and tools that we do not control. These include, but are not limited to:

  • Search and AI platforms: Google, Bing, ChatGPT, Perplexity, Gemini, and other answer engines.
  • Analytics providers: for traffic, ranking, and citation measurement.
  • Messaging providers: for email and SMS delivery.
  • Payment processors: our payment processor, for autopay, receipts, and subscription management. We do not store full card numbers.
  • Publishing and hosting platforms: used to deliver content on your behalf.

Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for their availability, policy changes, algorithm changes, pricing, or acts and omissions.

11. Disclaimers & Warranties

11.1 Results Disclaimer

Search engines and AI answer engines control their own ranking, indexing, and citation systems, and change them without notice. Except for any performance guarantee expressly published for your plan, we do not warrant specific rankings, citations, traffic volumes, leads, or revenue. Past results, including those shown on our website, do not guarantee future outcomes.

11.2 Service Warranty

We warrant that the Services will be performed in a professional and workmanlike manner consistent with industry standards. This is the only warranty we make.

11.3 As-Is

Except as expressly stated in these Terms, the Services and the Platform are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services is limited to the fees you paid to TopFound in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnification

You agree to indemnify, defend, and hold harmless TopFound and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) Client Content you supply; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party right.

14. Termination

14.1 Termination for Convenience

Cancellation is not self-serve. You end a subscription by giving written notice to us.

Growth and Scale: you may cancel at any time. The current monthly period continues through its end date, and that period stays billed as already charged. Autopay will not take the next month's charge after we receive your notice. Cancellation does not unwind or reduce the current period.

Custom AEO and enterprise plans: the engagement runs on a rolling 90-day term. Either party may give written notice that the engagement will not roll into a further 90-day period. Monthly autopay continues through the end of the then-current 90-day term. Ending after month one does not stop the remaining months of that term unless we agree otherwise in writing or terminate for cause.

14.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure the breach within fifteen (15) days of written notice. We may suspend or terminate immediately for non-payment or for unlawful use of the Services.

14.3 Effect of Termination

On termination, unpaid fees for periods already billed remain due, and monthly charges continue through the end of any then-current 90-day term. Autopay stops after the last charge that applies under this section. You keep the Deliverables produced and paid for up to that date. We will provide reasonable transition assistance on request, and access to the Platform ends at the close of your final billing period.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable to TopFound's principal place of business, without regard to conflict of law provisions.

The parties will first attempt to resolve any dispute informally by giving written notice of the dispute and negotiating in good faith for thirty (30) days. If the dispute is not resolved, it will be settled by binding arbitration administered under the rules of a recognized arbitration body, seated in a mutually agreed venue, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

16. Modifications to Terms

We may update these Terms from time to time. When we do, we will change the “Last Updated” date above and, for material changes, give you notice by email or through the Platform. Continued use of the Services after an update takes effect means you accept the revised Terms.

17. Contact Information
